RETAINER AGREEMENT

This will constitute an agreement between you as the client and Premier Product Design Ltd. PPD LTD for Concept Design, Cad Design, Engineering Drawing, Full Technical Specifications, Full Cost Breakdown, Marketing Materials, Consultation and Product Advertising. The services will be agreed for a set period by both PPD and the client.

 

During this period, PPD agrees to devote up to 160 hours per month on assignments to be agreed by you as the client and PPD.

 

Work will normally be performed at the offices of PPD but occasionally may take place at the offices of the client or other locations, as required. Work priority and scheduling will be at the discretion of the client. Work will normally occur between the hours of 9 to 5 on weekdays.

 

Payment for these services will be to PPD at the rate, stipulated by PPD and agreed to by the client, per month and will be made for the following month no later than the 30th day of each month that this agreement is in force. No invoice will be submitted.

 

Services in addition to 160 hours per month will be made available by (PPD) at the premium rate per hour which is not negotiable and will be billed separately. Any expenses exclusive of normal overheads are not included in this agreement and will be invoiced separately.

 

Examples of such expenses are: Delivery Services, Long-Distance Telephone Calls, Travel Beyond 25 miles from (PPD) offices and the client facilities, and meals when travelling.

 

A full list of rates for each specific assignment will be supplied, on request, to the client and implemented on agreement completion. Special rates will be available for long term retainment. Rates will be flexible in line with current inflation and exchange rates.

 

Amendments by the client to the original assignment brief can be made within a specific time period specified by PPD and will not be negotiable.

 

All materials furnished by the client will remain the property of the client and will be returned upon request, or no more than 10 days from the termination of this agreement.

 

The results of any and all work performed by PPD for the client, including original creative work (with the exception of advertising material required by PPD, will remain the property of the client. The client may use this material in any way deemed appropriate.

 

This agreement may be terminated on 30 days’ written notice by either PPD or the client. In case of termination, PPD shall make a reasonable attempt to finish work in progress.
